The Incorporated Societies Act 2022 is New Zealand's updated legal framework for non-profit organizations, modernizing laws that had been in place since 1908. It officially came into force on October 5, 2023, and introduced significant changes to governance, membership, and financial reporting.
Key Requirements & Changes
The 2022 Act introduces more detailed rules to ensure better accountability:
- Minimum Membership
- Governance Committee
- Every society must have a committee of at least three officers to manage its affairs
- New Officer Duties
- Officers must now follow duties similar to company directors, such as acting in good faith, exercising care and diligence, and disclosing any conflicts of interest
- Mandatory Dispute Resolution
- Constitutions must now include clear, documented procedures for resolving internal disputes that follow the "rules of natural justice"
- Financial Reporting
- Introducing "tiered" reporting based on size. Smaller societies (under $50,000 annual operating payments) have simplified requirements
- Surplus Assets
- Upon winding up, any leftover assets must be distributed to another not-for-profit entity, not to individual members.
